1. Acceptance of Terms

These Terms of Service (the "Terms") govern your access to and use of the website upvision.fr and any related services (collectively, the "Site"), operated by UPVIS GROUP LLC, a Wyoming limited liability company (registered office: 1309 Coffeen Avenue, STE 1200, Sheridan, WY 82801; State Registration No. 2026-001910857; EIN 38-4390065). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

These Terms govern your use of the Site. The sale of services is separately governed by the CGV.

2. Eligibility

You must be at least 18 years of age (or the legal age of majority in your jurisdiction) to use the Site. By using the Site, you represent and warrant that you meet this requirement and that you have the legal capacity to enter into binding agreements.

3. Account

Certain features may require account creation. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account. You agree to notify UpVision immediately of any unauthorized use of your account at contact@upvision.fr.

4. Acceptable Use

You agree to use the Site only for lawful purposes and in accordance with these Terms. In particular, you agree:

• To use the Site only for your own personal or business use, in good faith;
• Not to misrepresent your identity or affiliation;
• To respect the intellectual property rights of UpVision and third parties;
• To comply with all applicable laws and regulations.

5. Prohibited Conduct

You agree NOT to:

• Use the Site or Services to violate the rights of third parties, including intellectual property, privacy, or contractual rights;
• Use the Site or Services to target accounts that promote violence, hate, child sexual abuse material, terrorism, fraud, or other clearly illegal content;
• Use the Site or Services to harass, intimidate, defame, or harm individuals;
• Attempt to access non-public areas of the Site or our systems by any unauthorized means;
• Use automated means (bots, scrapers, crawlers) to access the Site without prior written authorization;
• Interfere with, disrupt, or compromise the security or integrity of the Site;
• Reverse-engineer, decompile, or disassemble any part of the Site or its underlying technology;
• Resell, sublicense, or commercially redistribute the Services without prior written authorization (note: B2B reseller partnerships are available through the Early Partner Program);
• Use the Services to deceive end users or to engage in market manipulation.

Violation of these prohibitions may result in immediate suspension or termination of access to the Site, without notice and without refund of any sums paid.

6. Intellectual Property

The Site and all its contents (including but not limited to text, graphics, logos, icons, images, software code, the brand "UpVision", and the Amplification Network methodology) are the exclusive property of UPVIS GROUP LLC or its licensors and are protected by copyright, trademark, and other intellectual property laws.

UpVision grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your personal or business use, in accordance with these Terms. This license does not include the right to copy, modify, distribute, sell, or lease any part of the Site.

7. Third-Party Platforms & Services

The Site allows you to engage Services that interact with third-party social media platforms (Instagram, TikTok, YouTube, etc.). You acknowledge that:

• These platforms are independent third parties governed by their own terms of service;
• UpVision is not affiliated with, sponsored by, or endorsed by any such platform;
• Platform policies, algorithms, and availability are outside UpVision's control;
• Brand and platform names are referenced solely for identification purposes (nominative fair use).

8. Suspension & Termination

UpVision reserves the right to suspend or terminate your access to the Site at any time, with or without notice, in the event of breach of these Terms or for any other legitimate reason (including investigation of suspected fraud, abuse, or illegal activity).

Upon termination, sections that by their nature should survive (including Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Applicable Law) shall continue to apply.

9. Disclaimers

THE SITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UPVIS GROUP LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

UpVision does not warrant that the Site will be uninterrupted, secure, error-free, or free of viruses or other harmful components.

Contractual guarantees specifically committed to in the CGV and the Remboursement are not affected by this disclaimer.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UPVIS GROUP LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SITE. UPVISION'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED USD ONE HUNDRED (USD 100) OR THE TOTAL AMOUNT PAID BY YOU TO UPVISION IN THE PRECEDING TWELVE (12) MONTHS, WHICHEVER IS GREATER.

Nothing in this section limits liability that cannot be excluded under applicable law.

11. Indemnification

You agree to indemnify, defend, and hold harmless UPVIS GROUP LLC and its officers, members, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising out of or related to: (a) your breach of these Terms; (b) your violation of any law or third-party right; (c) your use of the Site or Services in a manner not authorized.

12. Modifications

UpVision reserves the right to modify these Terms at any time. Updates will be posted on this page with a revised "Last updated" date. Material modifications will be notified by email to registered users at least thirty (30) days before they take effect. Continued use of the Site after modification constitutes acceptance of the modified Terms.

13. Applicable Law & Jurisdiction

These Terms are governed by the laws of the State of Wyoming, United States. Disputes shall be submitted to the competent courts of Sheridan County, Wyoming, subject to the mandatory protective provisions applicable to EU consumers (cf. Terms of Sale §16).

Les présentes Conditions Générales d'Utilisation (les « CGU ») régissent votre accès et votre utilisation du site upvision.fr et de tout service associé (collectivement, le « Site »), exploité par UPVIS GROUP LLC, société à responsabilité limitée du Wyoming (siège : 1309 Coffeen Avenue, STE 1200, Sheridan, WY 82801 ; n° d'enregistrement 2026-001910857 ; EIN 38-4390065). En accédant au Site ou en l'utilisant, vous acceptez d'être lié par les présentes CGU. Si vous n'acceptez pas, n'utilisez pas le Site.

Les présentes CGU régissent votre utilisation du Site. La vente de services est régie séparément par les CGV.

2. Éligibilité

Vous devez être âgé d'au moins 18 ans (ou de l'âge légal de la majorité dans votre juridiction) pour utiliser le Site. En utilisant le Site, vous déclarez et garantissez remplir cette condition et avoir la capacité juridique de conclure des accords contraignants.

3. Compte

Certaines fonctionnalités peuvent nécessiter la création d'un compte. Vous êtes responsable de la confidentialité de vos identifiants et de toutes les activités effectuées sous votre compte. Vous vous engagez à notifier immédiatement UpVision en cas d'utilisation non autorisée de votre compte à contact@upvision.fr.

4. Utilisation acceptable

Vous vous engagez à utiliser le Site uniquement à des fins licites et conformément aux présentes CGU. En particulier :

• Utiliser le Site uniquement pour vos besoins personnels ou professionnels, de bonne foi ;
• Ne pas falsifier votre identité ou affiliation ;
• Respecter les droits de propriété intellectuelle d'UpVision et des tiers ;
• Vous conformer à toutes les lois et réglementations applicables.

5. Conduite interdite

Vous vous engagez à NE PAS :

• Utiliser le Site ou les Services pour violer les droits de tiers, notamment propriété intellectuelle, vie privée ou droits contractuels ;
• Utiliser le Site ou les Services pour cibler des comptes promouvant la violence, la haine, des contenus pédopornographiques, le terrorisme, la fraude ou tout autre contenu manifestement illégal ;
• Utiliser le Site ou les Services pour harceler, intimider, diffamer ou nuire à des personnes ;
• Tenter d'accéder aux zones non publiques du Site ou de nos systèmes par des moyens non autorisés ;
• Utiliser des moyens automatisés (bots, scrapers, crawlers) pour accéder au Site sans autorisation écrite préalable ;
• Interférer avec, perturber ou compromettre la sécurité ou l'intégrité du Site ;
• Procéder à de l'ingénierie inverse, décompiler ou désassembler toute partie du Site ou de sa technologie sous-jacente ;
• Revendre, sous-licencier ou redistribuer commercialement les Services sans autorisation écrite préalable (note : les partenariats revendeurs B2B sont disponibles via l'Early Partner Program) ;
• Utiliser les Services pour tromper les utilisateurs finaux ou pour manipuler le marché.

La violation de ces interdictions peut entraîner la suspension ou la résiliation immédiate de l'accès au Site, sans préavis ni remboursement des sommes versées.

6. Propriété intellectuelle

Le Site et l'ensemble de ses contenus (notamment textes, graphismes, logos, icônes, images, code logiciel, marque « UpVision », méthodologie du Réseau d'Amplification) sont la propriété exclusive de UPVIS GROUP LLC ou de ses concédants de licence, et sont protégés par le droit d'auteur, le droit des marques et autres droits de propriété intellectuelle.

UpVision vous accorde une licence limitée, non exclusive, non transférable et révocable pour accéder au Site et l'utiliser pour vos besoins personnels ou professionnels, conformément aux présentes CGU. Cette licence n'inclut pas le droit de copier, modifier, distribuer, vendre ou louer une partie du Site.

7. Plateformes tierces & services

Le Site vous permet de souscrire à des Services qui interagissent avec des plateformes de réseaux sociaux tierces (Instagram, TikTok, YouTube, etc.). Vous reconnaissez que :

• Ces plateformes sont des tiers indépendants régis par leurs propres conditions générales ;
• UpVision n'est pas affilié à, ni sponsorisé par, ni endossé par aucune de ces plateformes ;
• Les règles, algorithmes et disponibilités des plateformes sont en dehors du contrôle d'UpVision ;
• Les noms de marques et plateformes sont mentionnés à seules fins d'identification (usage nominatif loyal).

8. Suspension & résiliation

UpVision se réserve le droit de suspendre ou de résilier votre accès au Site à tout moment, avec ou sans préavis, en cas de violation des présentes CGU ou pour tout autre motif légitime (notamment enquête sur fraude, abus ou activité illégale).

À la résiliation, les sections qui, par leur nature, doivent survivre (notamment Propriété intellectuelle, Disclaimers, Limitation de responsabilité, Indemnisation et Droit applicable) demeurent en vigueur.

9. Disclaimers

LE SITE ET LES SERVICES SONT FOURNIS EN L'ÉTAT (« AS IS ») ET SELON DISPONIBILITÉ (« AS AVAILABLE »). DANS TOUTE LA MESURE PERMISE PAR LE DROIT APPLICABLE, UPVIS GROUP LLC EXCLUT TOUTE GARANTIE, EXPRESSE OU IMPLICITE, NOTAMMENT TOUTE GARANTIE IMPLICITE DE QUALITÉ MARCHANDE, D'ADÉQUATION À UN USAGE PARTICULIER ET DE NON-CONTREFAÇON.

UpVision ne garantit pas que le Site sera ininterrompu, sécurisé, sans erreur ou exempt de virus.

Les garanties contractuelles spécifiquement engagées dans les CGV et la Politique de remboursement ne sont pas affectées par ce disclaimer.

10. Limitation de responsabilité

DANS TOUTE LA MESURE PERMISE PAR LE DROIT APPLICABLE, UPVIS GROUP LLC NE SERA PAS RESPONSABLE DES DOMMAGES INDIRECTS, ACCESSOIRES, CONSÉCUTIFS, SPÉCIAUX OU PUNITIFS DÉCOULANT DE VOTRE UTILISATION DU SITE. LA RESPONSABILITÉ TOTALE D'UPVISION AU TITRE DES PRÉSENTES CGU NE SAURAIT EXCÉDER CENT (100) USD OU LE MONTANT TOTAL VERSÉ PAR VOUS À UPVISION DANS LES DOUZE (12) MOIS PRÉCÉDENTS, LE PLUS ÉLEVÉ DES DEUX MONTANTS.

Aucune disposition du présent article ne limite la responsabilité qui ne peut être exclue par le droit applicable.

11. Indemnisation

Vous vous engagez à indemniser, défendre et tenir indemne UPVIS GROUP LLC ainsi que ses dirigeants, membres, employés et agents de toute réclamation, dommage, perte, responsabilité, coût ou dépense (y compris frais d'avocat raisonnables) découlant de : (a) votre violation des présentes CGU ; (b) votre violation de toute loi ou droit de tiers ; (c) votre utilisation du Site ou des Services d'une manière non autorisée.

12. Modifications

UpVision se réserve le droit de modifier les présentes CGU à tout moment. Les mises à jour seront publiées sur cette page avec une date « Dernière mise à jour » révisée. Les modifications substantielles seront notifiées par email aux utilisateurs enregistrés au moins trente (30) jours avant leur entrée en vigueur. La poursuite de l'utilisation du Site après modification vaut acceptation des CGU modifiées.

13. Droit applicable & juridiction

Les présentes CGU sont régies par le droit de l'État du Wyoming, États-Unis. Les litiges sont soumis aux tribunaux compétents de Sheridan County, Wyoming, sous réserve des dispositions impératives protectrices applicables aux consommateurs UE (cf. CGV §16).
